Welcome to Wordlancing!

The following are the terms and conditions that apply to the use of the Wordlancing website owned by Wordlancing Company, registered in the RAKEZ Free Zone under registration number 45002580, as well as all associated websites and services. Please note that by using the platform, you are deemed to have agreed to the following terms and conditions. If you do not agree to these terms and conditions, you should refrain from accessing or using the platform.

Introduction

The following Terms and Conditions shall apply to all Users in relation to Wordlancing provided Services through the Platform These Terms and Conditions come into force once you accept Service through the Platform or through any other form of communication with Wordlancing.

These Terms and Conditions, along with the Privacy Policy, hereby set out the whole Agreement and understanding between Wordlancing and the “User” (“the Agreement”) whether an individual or entity that accesses our Platform. Please note that you should review and agree with our Privacy Policy [https://wordlancing.com/privacy-policy/] as it is an integral part of these Terms and Conditions.

The User agrees and accepts that the use of the Platform and the Services provided by Wordlancing is the sole liability of the User, and further acknowledges that Wordlancing disclaims all representations and warranties of any kind, whether expressed or implied.

Definitions

The following definitions apply to the Terms and Conditions set out below.

“we”, “us”, “our”, “Wordlancing”, “Platform” and “Website” shall refer to Wordlancing, its employees, and authorized agents.

Users: shall refer to any independent people (whether an individual or entity) who visits, uses, accesses or benefits from the variety of services offered on the Platform or who provide its services on the Platform.

Account: shall refer to the User account on the Platform.

Service provider: Refers to any freelancer who offers its work and provide its services on the Platform to Users which includes but are not limited to writers, proofreaders, translators and transcribers.

Force Majeure: means an act of God, including but not limited to fire, floods, storms, hurricanes, typhoons, volcanic activities, or earthquakes, as well as acts, orders, or requests of a sovereign or a government and /or of anybody purporting to be or to act for such authority, wars, whether declared or not, war-like actions, revolutions, riots, civil insurrections, or civil commotions, as well as strikes, lockouts and/or similar actions in labor disputes, and any other comparable cause beyond the control of a party unless its performance has been expressly guaranteed by expressly waiving the exemption of a Force Majeure event.

Applicable Law: means the laws of the United Arab Emirates.

Representations and Warranties

As a condition of your use of the Services, you represent and warrant that:

You are not less than 18 years old, or the age of legal majority in your jurisdiction, whichever is greater;

If you are registering as a business entity, you shall have the authority to bind that entity to these Terms and Conditions and that you and the business entity will comply with all Applicable Laws and terms governing the use of Wordlancing Platform;

You have full power and authority to enter into this legally binding Agreement and in doing so will not violate any other agreement to which you are party;

You are not currently suspended and have not previously been banned by Wordlancing from using the Services;

You are not acting on behalf of a competitor of Wordlancing;

You shall comply with all local laws regarding online conduct and acceptable content publishable on this Platform.

You are responsible for all applicable taxes payable as a result of your activity on this Platform.

Accounts and Registration

To benefit from the Services, you shall provide Wordlancing with all required information in order to create your Account and allow Wordlancing to provide you with the Services. Otherwise, you shall navigate the Platform as a guest.

The Platform requires you to submit to Wordlancing certain Personal Data including but not limited to your full name, email address, mobile phone number, and certain financial data.

We may also require if you are registering as a company, to collect data which includes but are not limited to (Articles of Incorporation, Commercial Registry, Tax Card)

You agree to maintain true and accurate, complete, and up-to-date information in your Account. You are responsible for all activity that occurs under your Account, and as such, you agree to always maintain the security of your Account username and password, unless otherwise permitted by Wordlancing in writing.

Accounts are not transferable. You agree to reimburse Wordlancing for any improper, unauthorized or illegal use of your Account by you or by any person obtaining access to the Platform, Services or otherwise by using your designated username and password, whether you authorized such access.

You agree that you are solely responsible for all activities that occur in connection with Wordlancing Account. You shall notify us immediately of any unauthorized use of your Account.

We may terminate or suspend access to your Account or your ability to use the Services, in whole or in part, at our sole discretion, for any or no reason, and without notice or liability of any kind. For example, we may terminate or suspend your Account or ability to use the Services if you misuse the Platform. Any such termination or suspension could prevent you from accessing your Account.

If Wordlancing suspects, at its sole discretion, that any of the information you provided is untrue, inaccurate, incomplete, or not current, without prejudice to any other rights and remedies of Wordlancing under these Terms and Conditions or under the Applicable Laws, we have the right to suspend or limit your access to the Platform and its Services.

Wordlancing may (in its sole discretion and at any time), make any inquiries it considers necessary (whether directly or through a third party), and request that you provide a response with further information or documentation, including without limitation to verify your identity and/or ownership of your financial instruments. Without limiting the foregoing, if you are a business entity or registered on behalf of a business entity such information or documentation may include your trade license, other incorporation documents, and/or documentation showing any person’s authority to act on your behalf. you agree to provide any information and/or documentation to Wordlancing upon such requests. You acknowledge and agree that if you do not, Wordlancing without liability may limit, suspend or withdraw your access to the Platform. We also reserve the right to cancel unconfirmed/unverified Accounts or Accounts that have been inactive for a long time.

Use of the Platform

Subject to the User’s compliance with these Terms and Conditions, Wordlancing grants the User a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to:

Access and use the Services solely in connection with the provision of the Services.
Access and use any content, information, and related materials that may be made available through the Services.

Any rights not expressly granted herein are reserved by Wordlancing and may be revoked at any time without notice to the User.

The User shall not use any trademark or any intellectual property rights belonging to Wordlancing from any part of the Services, and shall not reproduce, modify, prepare, publicly, perform, transmit, stream, broadcast, or otherwise exploit the Services except as expressly permitted by Wordlancing in writing, and shall not decompile, reverse engineer or disassemble the Services, and shall not link to mirror or frame any portion of the Services or launch any programs or scripts for the purpose of scraping, indexing, surveying or otherwise data mining any portion of the Services, or unduly burdening, or hindering the operation and/or functionality of any aspect of the Services or attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.

The User may not post in anywhere else on the Platform (as determined at our sole discretion): solicitation, advertising, foul language, profanities, obscenities, culturally offensive material, religiously offensive material, critical political content, material that may threaten the public interest or national security, defamatory or libelous harassment, or other content that may be offensive or indecent.

Copying, transmission, reproduction, replication, posting or redistribution of (a) Content or any portion thereof and/or (b) the Services more generally is strictly prohibited without the prior written permission of Wordlancing. Services

Wordlancing is a Platform that connects individuals, startups, and SMEs in need of qualified freelance writers, proofreaders, translators, and transcribers by creating an online hub that links them all and makes communication between them easier when a User requests a service from Service Providers to use them in their business.

In addition to translation, Wordlancing offers all writing services, including but not limited to translating books, articles, and research papers from English into Arabic and vice versa. Writing and translation services also include editing and proofreading to assess and analyze different research texts and books in terms of linguistics, grammar, and spelling.

Service Providers

The writing Services shall be made available or accessed through Service Providers that Wordlancing does not control. Wordlancing does not endorse such third-party services and content or guarantees that it does not violate the Intellectual Property Rights of others and in no event shall Wordlancing be responsible or liable for any of the services of these Service Providers.

If you are registered as a Service Provider, you acknowledge and ensure that the content you write on the Platform does not violate any of the Intellectual Property Rights of others, and that you will compensate Wordlancing and avoid it from any claims in that matter.

Electronic Communications

By using Wordlancing’s Platform, you agree that you are communicating with us electronically. Therefore, you consent to receive periodic communications from us. Wordlancing will communicate with you via e-mail or may send you information via text messages (SMS), as well as by posting notices on the Platform as part of the normal business operation of your use of the Services. You acknowledge that opting out of any of the said means of communication may affect your use of the Services.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Wordlancing will request your agreement during the registration process to send you promotional emails or notifications related to the Platform and its Services. If at any time, you decide that you do not wish to receive promotional emails, you can opt-out of receiving such promotional emails by clicking on the link at the bottom of any promotional email.

Payments

Wordlancing has many payment methods on the platform by one of the methods listed below:

-By subscribing to a package suitable for you on the Platform;

-By paying a percentage from each cooperation between the User and the Service Provider;

– Each Service Provider sets their own prices for their services, which are based on the word count.

If you register as a Service Provider, you acknowledge and understand the following:

Wordlancing shall transfer any due amounts to you, if applicable, within 7 business days from the user’s payment to your registered bank account.

Wordlancing is entitled to a commission of 7% based on the payment received for each task conducted through the platform. The commission is calculated based on the amount paid or deducted for the required task fees, and it remains consistent at 7% for all cases. The commission is not calculated as a percentage of the plan or package value, but rather as a percentage of the fees for each individual task required separately.

Wordlancing provides the electronic payment method on the Platform by credit cards, The User shall pay for the Service in accordance with the agreed-upon milestones

Wordlancing reserves the right to alter, change, modify, or provide any payment methods.

Wordlancing provides online payment services through third-party providers. Wordlancing shall not store any data related to credit cards. Wordlancing shall have no responsibility for any error, damage, or any matter similar that may arise to the User as a result of using the online payment, such shall be the responsibility of the third-party provider.

The User shall ensure sufficient coverage of the respective account that covers the requested services cost and shall abide by the credit card transaction limits.

Wordlancing shall not charge the Users any extra fees for making an online payment. Except for administrative expenses, which represent a percentage of 2.9% -3.2% of the payments+ 1 AED .

Refund/Return Policy

Subscription Package

If you have subscribed to a package on Wordlancing, the payment for the package is non-refundable. Once the payment is made and the subscription is activated, no refunds will be provided. However, you can continue to enjoy the benefits of the subscribed package until the subscription period ends.

Percentage from Each Cooperation

If you have chosen to pay a percentage from each cooperation between you (Service Provider) and the User, there are no refunds for the commission paid to Wordlancing. The commission is deducted from the total price paid by the User and is non-refundable.

Service Provider’s Pricing

As a Service Provider, you set your own prices for your services based on the word count. Once a User pays for a service, refunds will be handled based on the agreement between you and the User. It is your responsibility to clearly communicate your refund policy to the User before starting the cooperation. Wordlancing is not involved in the refund process for services provided directly by Service Providers.

Electronic Payment Method

Wordlancing provides an electronic payment method on the platform through credit cards. The User is responsible for paying for the service in accordance with the agreed-upon milestones. Any refunds related to the electronic payment should be handled between the User and the third-party provider)payment gateway). Wordlancing does not store credit card data and is not responsible for any errors, damages, or issues arising from the use of the online payment service provided by the third-party provider.

Administrative Expenses

Wordlancing may charge administrative expenses, which represent a percentage of the payments made by the User. These expenses are non-refundable and will be deducted from the total payment made by the User.

Verification and Documentation

Wordlancing reserves the right to make inquiries and request further information or documentation to verify your identity and ownership of financial instruments. If you fail to provide the requested information or documentation, Wordlancing may cancel the transaction, limit, suspend, or withdraw your access to the Platform and/or membership without liability on Wordlancing.

Prohibited Writings and Activities

You must not create or write and upload any content that:

is not objective or intentionally untrue;
is immoral, pornographic or in any other way offensive;
infringes upon the rights of third parties, in particular copyright or Intellectual Property Rights;
violates Applicable Laws in any way or constitutes a criminal offence;
contains viruses or other computer programs that may damage software or hardware or that may affect the use of computers;
is a survey or chain letter; or
is aimed at collecting or using personal data from other Users, especially for commercial purposes.

Ratings

Wordlancing shall place a rating of a 5-star overall rating users and Service Providers in order to assess the general satisfaction with their interaction;

If a User or Service Provider receives an overall rating of less than two stars, The Write Corner may discontinue your Account.

Links to Third Party Platforms

Our Platform may contain hyperlinks to platforms operated by parties other than Wordlancing. Such hyperlinks are provided for your reference only. We do not control such platforms and are not responsible for their contents or the privacy or other practices of such platforms. These Terms and Conditions will not apply to your use of any third-party platform that you access via our Platform. Your use of any third-party platform may be subject to additional terms and conditions, which we suggest you read carefully before you visit any such platform.

Intellectual Property Rights

Wordlancing shall not bear any liability in the event that any Service Provider infringes the Intellectual Property Rights of any third party, including any books or any other financial or literary right, and you must acknowledge if you subscribe as a Service Provider that all the writings you make do not violate any Intellectual Property Right of others and Wordlancing shall not guarantee any of the aforementioned since it’s only a link between Users and Service Providers;

All content included on the Platform, including but not limited to text, graphics, Platform’s logos, button icons, images, audio clips, digital downloads, data compilations, and software, is the property and copyright work of, Wordlancing or its licensors and is protected by copyright, trademarks, patents or other intellectual property rights and laws. The compilation of the content on the Platform. is the exclusive property and copyright of, Wordlancing and is protected by copyright, trademarks, patents, or other intellectual property rights and laws.

Disclaimer

PLEASE READ THIS SECTION CAREFULLY. THIS SECTION LIMITS Wordlancing’s LIABILITY TO YOU FOR ISSUES THAT MAY ARISE IN CONNECTION WITH YOUR USE OF THE SERVICES. IF YOU DO NOT UNDERSTAND THE TERMS IN THIS SECTION OR ELSE WHERE IN THIS AGREEMENT, PLEASE CONSULT A LAWYER FOR CLARIFICATION BEFORE ACCESSING OR USING THE SERVICES.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” Wordlancing DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS. IN ADDITION, Wordlancing MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES OR ANY SERVICES REQUESTED THROUGH THE USE OF THE SERVICES, OR THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. Wordlancing DOES NOT GUARANTEE THE QUALITY, SUITABILITY, OR ABILITY OF THE SERVICES.YOU AGREE THAT THE ENTIRE RISK ARISING FROM THE USE OF SERVICES REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW.

YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY SERVICE OR GOOD REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER THE APPLICABLE LAW.

ALL ACCOUNTS REGISTERED WITH Wordlancing ARE CONTINUOUSLY TRACKED FOR SECURITY PURPOSES AND PERFORMANCE REASONS. IT IS EXPRESSLY MADE CLEAR TO YOU HEREBY THAT Wordlancing DOES NOT OWN ANY ACCOUNT OF ANY KIND.

Limitation of Liability

As a User of the Services, you understand and agree that: (1) neither Wordlancing nor its affiliates will have any liability to you or others for any unauthorized usage made using your Account and/or Wordlancing Account credentials; and (2) the unauthorized use of your Wordlancing Account and/or Wordlancing Account credentials could cause you to incur liability to both Wordlancing and other Users.

While accessing or using the Platform, you may be exposed to content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate. Wordlancing does not endorse such content and cannot vouch for its accuracy. You therefore access and use the Platform at your own risk.

Wordlancing shall not be liable to you for indirect, incidental, special, exemplary, punitive, or consequential damages, lost data, or damage to your bank account or your Wordlancing account, even if Wordlancing has been advised of the possibility of such damages. Wordlancing shall not be liable for any damages, liability, or losses incurred by you arising out of your use of or reliance on the Services or your inability to access or use the Services or any transaction, even if Wordlancing has been advised of the possibility of such damages.

Wordlancing shall not be liable for delay or failure in performance resulting from causes beyond Wordlancing`s reasonable control. These limitations do not purport to limit liability that cannot be excluded under the Applicable Laws.

Wordlancing shall be entitled to disclose any User information it may possess to affiliated corporate entities within its group of companies, or if required by law, or if requested or directed to do so by any official government body. Wordlancing will do so at its sole discretion or as we may determine to be suitable or in our best interest to do so.

Indemnification

you agree to defend and indemnify and hold Wordlancing, its affiliates, sponsors, partners, directors, officers, agents and employees harmless from and against, and to reimburse Wordlancing with respect to, any and all losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to your breach of this Terms & Conditions, along with our Privacy Policy or your violation of any law or regulation or your use of the Services use by you or any Service Provider of the same Services or if you violated third parties Intellectual Property Rights.

Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside of our reasonable control, including, without limitation, any failure to perform due to unforeseen circumstances or cause beyond our control such as acts of god, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, epidemic or other natural disaster, shortages of transportation facilities, fuel, energy, labor or materials or a failure of public or private telecommunications networks.

Amendments

We may update or otherwise amend these Terms and Conditions from time to time without any prior notice to comply with any regulatory requirements or if there any changes to our business practices. You understand and agree that your continued access or use of the Services after such amendments signifies your acceptance of the updated Terms and Conditions.

Your use of our Platform will be subject to the most recent version of the Terms available on Wordlancing Platform. We recommend that you read through the Terms available on the Platform regularly so that you can be sure that you are aware of any changes that may apply to you.

Termination

TThe Users may terminate the Account anytime with immediate effect. Please send an email to [email protected] and we will delete your Account.

Unenforceable Provisions

If any part of these Terms & Conditions is found to be invalid or unenforceable under Applicable Law, such part will be ineffective to the extent of such invalid or unenforceable part only, without affecting the remaining parts of the Terms and Conditions in any way.

Jurisdiction and Applicable Laws

The rights and obligations of the Users pursuant to this Terms & Conditions are governed by and shall be construed in accordance with the laws of the United Arab of Emirates.

You hereby irrevocably submit to the exclusive jurisdiction of the Courts of the United Arab of Emirates for any dispute arising under or relating to this Terms & Conditions and waive Your right to institute legal proceedings in any other jurisdiction. We shall be entitled to institute legal proceedings in connection with any matter arising under these Terms & Conditions in any jurisdiction where You reside, do business, or have assets.

Use of the Services is unauthorized in any jurisdiction that does not gives effect to all provisions of these Terms and Conditions, including without limitation, this clause. The foregoing shall not apply to the extent that applicable law in Your country requires application of another law and/or jurisdiction and this cannot be by contract.
